Terms of Service

These Terms of Service (“Terms”) govern access to and use of Trua’s services, platforms, APIs, websites, and related offerings (collectively, the “Services”). These Terms are intended to clearly define the rights, responsibilities, and expectations of all parties involved in Trua-facilitated identity verification, background evaluation, and trust credential services.

Trua operates as a neutral trust services provider that enables individuals (“Candidates”) to create, verify, and share claims about themselves with third parties (“Relying Parties”). Trua does not make hiring, engagement, lending, or other eligibility decisions.

1. Definitions

  • “Trua” refers to Trua, Inc., its affiliates, officers, directors, employees, and contractors.
  • “Candidate” refers to an individual who is invited to, or voluntarily uses, the Services to verify identity attributes, background information, or other claims about themselves.
  • “Relying Party” refers to an organization or individual that receives, reviews, or relies upon information or credentials shared by a Candidate through the Services.
  • “Evaluation” refers to the verification, corroboration, or assessment of claims made by a Candidate using available data sources, attestations, and processes.
  • “Credential” refers to a digital representation of verified or evaluated claims issued to a Candidate for controlled sharing.
  • “Content” refers to all data, information, records, reports, credentials, and materials processed through the Services.

2. Role of Trua

Trua provides a technology platform that:

  • Facilitates identity verification and claim evaluation
  • Enables Candidates to attest to information about themselves
  • Aggregates and evaluates information from third-party data sources
  • Issues digital credentials reflecting evaluated claims
  • Enables Candidates to selectively share credentials with Relying Parties

Trua Does not:

  • Act as an employer, lender, insurer, or regulator
  • Make hiring, engagement, credit, or eligibility decisions
  • Guarantee outcomes, suitability, or fitness for any purpose

3. Candidate Responsibilities

By using the Services, a Candidate represents and agrees that:

  • All information provided is truthful, accurate, and complete to the best of their knowledge
  • They have the legal right to provide the information submitted
  • They understand that false or misleading information may result in incomplete, adverse, or failed evaluations
  • They control whether and when Credentials are shared with Relying Parties

Candidates acknowledge that:

  • Evaluations are based on available data at the time of evaluation
  • Some data sources may be incomplete, delayed, or contain errors beyond Trua’s control
  • Trua does not independently investigate beyond the scope of disclosed verification processes

4. Relying Party Responsibilities

Relying Parties agree that:

  • They are solely responsible for decisions made using information received via the Services
  • Credentials represent evaluated claims at a point in time and are not guarantees of future conduct
  • They will use the Services in compliance with applicable laws, including employment, privacy, and nondiscrimination laws
  • They will not misrepresent Trua’s role or imply Trua endorsement of decisions

Relying Parties acknowledge that:

  • Trua does not certify or warrant Candidates
  • Trua does not assume responsibility for actions taken by Candidates

5. Data Sources and Accuracy

Trua relies on:

  • Candidate attestations
  • Public records
  • Proprietary and third-party data providers
  • Automated and manual evaluation processes

While Trua employs commercially reasonable efforts to ensure accuracy and integrity, Trua does not warrant that:

  • All data sources are complete or current
  • All records are free from error
  • Evaluations will identify every possible risk factor

6. Credential Sharing and Control

  • Credentials are issued to Candidates, not Relying Parties
  • Candidates explicitly authorize each instance of credential sharing
  • Relying Parties receive only the information shared by the Candidate
  • Trua may provide mechanisms to revoke, expire, or update Credentials

7. No Legal, Employment, or Compliance Advice

The Services do not constitute legal, regulatory, or compliance advice. Relying Parties are responsible for consulting their own advisors regarding appropriate use of the Services.


8. Indemnification

8.1 Candidate Indemnification

Candidates agree to indemnify, defend, and hold harmless Trua from any claims, damages, liabilities, losses, or expenses (including reasonable attorneys’ fees) arising out of:

  • False, misleading, or incomplete information provided by the Candidate
  • Unauthorized use or sharing of Credentials
  • Violation of these Terms or applicable law
8.2 Relying Party Indemnification

Relying Parties agree to indemnify, defend, and hold harmless Trua from any claims, damages, liabilities, losses, or expenses (including reasonable attorneys’ fees) arising out of:

  • Decisions or actions taken based on information obtained through the Services
  • Failure to comply with applicable laws or regulations
  • Misrepresentation of Trua’s role or the nature of Credentials

9. Limitation of Liability

To the maximum extent permitted by law:

  • Trua shall not be liable for indirect, incidental, consequential, special, or punitive damages
  • Trua’s total liability shall not exceed the fees paid to Trua by the applicable Relying Party in the twelve (12) months preceding the claim

Trua shall not be liable for:

  • Acts or omissions of Candidates or Relying Parties
  • Inaccuracies originating from third-party data sources
  • Decisions made by Relying Parties

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TRUA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


11. Privacy and Data Protection

Use of the Services is subject to Trua’s Privacy Policy, which is incorporated by reference. Trua employs technical and organizational safeguards designed to protect data consistent with industry standards.


12. Suspension and Termination

Trua may suspend or terminate access to the Services for:

  • Violation of these Terms
  • Suspected fraud or misuse
  • Legal or regulatory requirements

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located within the Commonwealth of Virginia, unless otherwise agreed in writing.


14. Modifications

Trua may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the updated Terms.
